terms of service

these terms are the agreement between you and clipbox. they cover what you can expect from us, what we expect from you, and how the free plan, subscriptions and disputes are handled.

these terms of service ("terms") govern your use of the clipbox ios application ("clipbox", "the app") provided by USW OÜ, a company registered in estonia ("we", "us", "our"). by downloading, installing or using clipbox, you agree to be bound by these terms. if you do not agree, do not use the app.

01eligibility & use of the app

you must be at least 13 years old to use clipbox. if you are under the age of majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and agreed to these terms on your behalf.

clipbox does not require you to create an account. your use of the app is tied to the apple id signed in on your ios device, and you are responsible for keeping that device and apple id secure. where you enable icloud sync (see section 03), your playlists and notes are stored in your own icloud account under that same apple id.

02plans & features

clipbox is available as a free plan and an optional paid subscription, clipbox premium.

free plan

the free plan lets you add videos in every supported format — youtube links, instagram video imports, and your own screen recordings — and build a playlist of up to four (4) videos. core playback is included at no cost and the free plan can be used indefinitely.

clipbox premium

a premium subscription unlocks:

• unlimited videos in your playlist (the 4-video limit is removed)
• background audio playback for supported content (see section 07 for the youtube limitation)
• notes — create and attach your own notes to your playlist
• icloud sync of your playlists and notes across your devices

the video limit on the free plan and the exact set of premium features are always reflected in the app itself. we may adjust the features included in each plan as clipbox evolves; where a change materially reduces what the paid plan offers, we will handle it in line with section 12 and applicable consumer law.

03subscription, pricing & auto-renewal

clipbox premium is optional. subscriptions are sold and processed by apple through your apple id under apple's standard subscription model. you can keep using the free plan without ever subscribing.

how the subscription works

• price. clipbox premium renews automatically each month at the then-current price (€3.99 per month at the time these terms were issued).
• auto-renewal. your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the period ends. renewal is charged to your apple id.
• price changes. if we change the price, apple will notify you and request your consent before the new price applies.
• when a subscription ends. if your premium subscription lapses or is cancelled, your account returns to the free plan. access to premium features — background audio, notes, icloud sync — and to any videos in your playlist beyond the free-plan limit of four is paused until you resubscribe.

managing or cancelling your subscription

you can view, change or cancel your clipbox subscription at any time on your ios device: settings → [your name] → subscriptions → clipbox. cancellation takes effect at the end of the current billing period; you keep premium access until then.

04refunds

because subscriptions are processed by apple, all refund requests are handled under apple's refund policy. to request a refund, visit reportaproblem.apple.com and select the clipbox transaction.

we do not directly issue refunds, partial refunds, or credits for unused portions of any billing period. where consumer protection law in your jurisdiction grants you additional refund or withdrawal rights, those rights are preserved.

05your content

clipbox is a tool that helps you organize and play media that is already on your device or accessible via youtube or instagram. the content itself — your playlists, your imported videos, your notes, your youtube urls — remains yours.

by using clipbox, you confirm that:

• you own, have a licence to, or are otherwise legally entitled to access any video content you add to a playlist, including videos imported from your camera roll (e.g. screen recordings) or saved from instagram.
• your use of the app and any third-party content within it does not infringe the intellectual property rights of others or violate any law applicable to you.
• you are solely responsible for the content you add to or play within clipbox.

06our app & your licence to use it

clipbox — including the app, its design, source code, name and branding — is the property of USW OÜ and is protected by copyright, trademark and other applicable laws. we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use clipbox on ios devices that you own or control, solely for your personal, non-commercial use.

you may not:

• copy, modify, distribute, sell, rent or sublicense the app or any part of it
• reverse engineer, decompile or disassemble the app, except where permitted by law
• remove or alter any proprietary notices contained in the app
• use the app to build, train or improve any competing product or service

07third-party services

clipbox integrates with the following third-party services. your use of these services through clipbox is also subject to their respective terms:

• youtube. videos sourced from youtube are played through the youtube iframe player api. your use of youtube content is governed by the youtube terms of service and the google privacy policy. you must not use clipbox to download, scrape, redistribute or otherwise misuse youtube content. background audio playback of youtube videos is not supported in clipbox; this is a platform-level limitation imposed by youtube and ios, not a clipbox bug. the premium background-audio feature applies to supported locally-stored content only.
• instagram. clipbox can import videos that you save from instagram into your playlist. you are responsible for ensuring you have the right to download and store any such content. your use of instagram is governed by instagram's and meta's terms and policies. clipbox does not connect to your instagram account or scrape instagram.
• apple icloud. if you enable premium, clipbox uses apple's icloud / cloudkit to sync your playlists and notes across devices signed in to the same apple id. that data is stored in your icloud account and handled under apple's terms and our privacy policy.
• apple. app distribution and subscription billing are handled by apple inc. and are subject to the apple media services terms and conditions.

we are not responsible for the availability, performance or conduct of any third-party service, nor for content delivered through such services.

08prohibited conduct

you agree not to use clipbox to:

• infringe any copyright, trademark or other intellectual property right
• violate the terms of any third-party service integrated with clipbox, including youtube and instagram
• attempt to circumvent any technical, legal or commercial limitation of the app (including background-playback restrictions on youtube content)
• use automated systems, bots or scrapers to interact with the app
• interfere with the security, integrity or proper operation of the app

09disclaimers

clipbox is provided "as is" and "as available", without warranties of any kind, whether express or implied. to the maximum extent permitted by law, we disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage.

we do not guarantee that the app will operate uninterrupted, error-free, or be permanently compatible with every ios version. the availability of content sourced from youtube or instagram is outside our control and may change without notice.

10limitation of liability

to the maximum extent permitted by law, USW OÜ and its officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of data, loss of profits or loss of goodwill, arising from your use of clipbox.

where liability cannot be excluded, our total aggregate liability to you for any claim arising out of or related to clipbox is limited to the greater of (a) the amount you paid us for clipbox in the 12 months preceding the event giving rise to the claim, or (b) €50.

nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. your statutory rights as a consumer are not affected.

11termination

you may stop using clipbox at any time by deleting the app from your device. this will also remove all locally stored playlist data. if you have used icloud sync, deleting the app does not automatically delete playlists or notes already synced to your icloud account; you can remove that data from your icloud storage through your device settings.

we may suspend or terminate your access to clipbox if you materially breach these terms, if required by law, or if continued provision of the app becomes commercially unviable. where reasonable, we will provide notice.

12changes to these terms

we may update these terms from time to time. the "effective" date at the top of this page reflects the latest revision. material changes will be communicated through the app store release notes for new versions of clipbox or through other reasonable means. your continued use of the app after the effective date of the revised terms constitutes acceptance of the changes.

13governing law & disputes

these terms are governed by the laws of the republic of estonia, without regard to its conflict of law principles. any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of estonia.

if you are a consumer resident in the european union, you retain the protection of the mandatory provisions of the law of your country of residence, and you may also bring proceedings in the courts of that country. the european commission's online dispute resolution platform is available at ec.europa.eu/consumers/odr.
